Affiliate Program Terms
Last updated: 2025-11-20
These Affiliate Program Terms (the “Terms”) govern your participation in the ClickMimic affiliate program (the “Program”). By applying to or participating in the Program, you agree to be bound by these Terms. If you do not agree to these Terms, you may not participate in the Program.
ClickMimic is owned and operated by Łukasz Kaczmarczyk, with registered address: ul. Leszczyńskiego 4 lok. 25, 50-078 Wrocław, Poland.
These Terms supplement our main Terms of Service and Privacy Policy. In case of any conflict between those documents and these Terms in relation to the Program, these Terms will prevail.
Nothing in these Terms or in the Program constitutes investment, legal or tax advice, a promise of profit, or a guarantee that the use of ClickMimic will be accepted by any broker or prop firm. Trading financial instruments and participating in prop firm evaluations involve significant risk of loss. Each Customer and Affiliate is solely responsible for checking and complying with the rules of their broker, prop firm and jurisdiction.
1. Definitions
For the purposes of these Terms:
- “ClickMimic”, “we”, “us”, “our” – means the owner and operator of the ClickMimic software and website.
- “Affiliate”, “you”, “your” – means the individual or legal entity that applies to and/or participates in the Program.
- “Program” – means the ClickMimic affiliate program described in these Terms.
- “Customer” – means a person or entity who purchases a ClickMimic product or subscription after being referred by you in accordance with these Terms.
- “Commission” – means the fees payable to you for qualifying sales generated through your affiliate links or coupons.
- “Affiliate Dashboard” – means the interface or portal we provide to you to access your links, coupons, statistics, and payout information.
- “ClickMimic Hub” – means our secure online portal where we may provide access to your Affiliate Dashboard, media kit downloads, and other affiliate resources.
- “Program Details” – means the current commercial parameters of the Program (for example: commission rates and tiers, eligible products or plans, cookie/tracking window, payout currency, payout schedule, payout threshold and available payout methods) as displayed in your Affiliate Dashboard, ClickMimic Hub or in another page or document we explicitly designate.
2. Enrollment in the Program
2.1 Application
To join the Program, you must submit a complete and accurate application through our affiliate signup form or via a method we specify. We may request additional information to verify your identity, your business, or your promotional methods.
2.2 Acceptance or Rejection
We reserve the right, in our sole discretion, to accept or reject any application for any reason or no reason, including if we believe your content or business is incompatible with our brand, is misleading, or violates applicable law. If your application is accepted, we will set up your affiliate account and provide access to the tools described in these Terms (for example, the Affiliate Dashboard or ClickMimic Hub), when available.
2.3 Eligibility
By participating, you confirm that:
- You are at least 18 years old (or the age of legal majority in your jurisdiction).
- You have the authority to enter into these Terms on behalf of yourself or your business.
- Your participation in the Program does not violate any laws or agreements you are subject to.
3. Affiliate Account & Security
3.1 Account Information
You must provide accurate and complete information when creating your affiliate account and keep it up to date (including your legal name, contact details, and payout information). Your affiliate profile and payout details will typically be managed through ClickMimic Hub or another portal we designate.
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately if you suspect any unauthorized use of your account.
3.3 Transfer of Account
You may not sell, lease, transfer, or otherwise assign your affiliate account to any third party without our prior written consent.
4. Affiliate Links, Coupons & Tracking
4.1 Affiliate Links and Coupons
Once accepted, you will receive unique affiliate tracking links and/or unique affiliate coupon codes (if applicable). You may use these links and codes in your marketing, subject to these Terms.
4.2 Tracking & Cookie / Tracking Window
We use cookies and/or similar tracking technologies to attribute Customers to specific Affiliates. When a user clicks your valid affiliate link, we typically set a cookie in their browser or otherwise record the click.
- Cookie / tracking window: the applicable cookie duration or tracking window (for example, how many days after a click a purchase can still be attributed to you) is described in the Program Details in your Affiliate Dashboard or other affiliate documentation. Unless we state otherwise there, the tracking window starts from the user’s last click on your valid affiliate link.
- Attribution: if the user purchases within the applicable tracking window and our systems successfully attribute the purchase to your link or coupon, the sale is attributed to you, subject to these Terms and to any attribution rules set out in the Program Details.
4.3 Coupon Attribution
If a Customer uses your valid affiliate coupon code at checkout, the sale will be attributed to you even if no cookie is present, provided the coupon is active, applied correctly, and specifically assigned to you. If both a cookie and a coupon exist from different Affiliates, we may attribute the sale according to our internal rules and/or the Program Details.
4.4 Tracking Limitations
We are not responsible for purchases that are not correctly tracked due to browser settings, ad blockers, cookie deletions, VPNs, privacy tools, users switching devices or browsers, or any technical limitations outside our reasonable control. We will make reasonable efforts to ensure accurate tracking, but tracking is not guaranteed to be error-free.
5. Commission Structure
5.1 Program Details and Commission Models
The specific commercial parameters of the Program – including applicable commission rates, whether commissions are recurring or one-time, any performance-based tiers, eligible products or plans, payout currency, payout schedule and payout threshold – are not fixed in these Terms. They are described in your Program Details inside the Affiliate Dashboard, ClickMimic Hub or another location we designate.
We may operate the Program with multiple levels or tiers (for example, higher commission rates for Affiliates who refer and maintain a higher number of active paying subscriptions). The exact thresholds, rates and conditions for entering or remaining in a given tier are set out in the Program Details and may differ between Affiliates or campaigns.
From time to time we may also offer special or legacy Program Details to certain Affiliates (for example, early Affiliates or those participating in a specific promotion). Any such differences will be reflected in the Program Details that apply to your account.
5.2 Commissionable Amount
Commissions are calculated on the net amount we actually receive from the Customer for the qualifying product or subscription, excluding taxes, payment processing fees, chargeback fees, currency conversion costs, discounts, coupons, promotions, and any other fees not retained by us as revenue.
5.3 Recurring Subscriptions and One-Time Commissions
Where your Program Details specify recurring commissions, you earn the stated commission rate on each eligible renewal payment from a referred Customer for as long as that subscription remains active and eligible under the Program Details (for example, up to a certain maximum period or while you remain in a specific tier). Where your Program Details specify a one-time commission, you earn Commission only on the first eligible payment from the Customer and no Commission on subsequent renewals, unless we explicitly state otherwise in writing or in updated Program Details.
5.4 No Self-Referrals
You may not use your own affiliate link or coupon to purchase ClickMimic for yourself, your own entities, or any account you control. We may, at our discretion, treat purchases by your close family members, employees, contractors, or entities under your control as self-referrals and decline or reverse the associated commissions.
5.5 Changes to Program Details
We may update or change the Program Details (including commission rates, tiers, thresholds, payout schedule and other commercial parameters) for future referrals at any time. We will make reasonable efforts to notify you of material changes (for example, by email or via the Affiliate Dashboard or ClickMimic Hub).
Unless we state otherwise, changes to the Program Details apply only to future transactions and do not retroactively affect commissions already earned on past valid transactions. If you do not agree with updated Program Details, your sole remedy is to stop participating in the Program.
6. Payouts
6.1 Payout Schedule
Commissions are paid on a periodic basis according to the payout schedule described in the Program Details (for example, monthly with a delay to allow for refunds and chargebacks). We may adjust the payout schedule from time to time, and any such changes will be reflected in the Program Details.
6.2 Minimum Payout Threshold
We apply a minimum payout threshold, as specified in the Program Details. If your approved but unpaid commissions are below the current payout threshold at the end of a payout cycle, they will roll over to the next cycle until the threshold is reached, unless we agree otherwise in writing.
6.3 Payout Methods
We will specify available payout methods (for example, bank transfer, payment service provider, or other methods) in the Affiliate Dashboard, in the Program Details or in separate communication. You are responsible for providing correct payout details and for any fees or currency conversion costs charged by your bank or payment provider.
6.4 Taxes
You are solely responsible for reporting and paying all taxes, duties, or other governmental charges arising from your commissions. We may withhold taxes from your payouts if required by applicable law.
7. Refunds, Chargebacks & Fraud
7.1 Refunds & Chargebacks
No commission is earned on any sale that is refunded, charged back, cancelled, or marked as fraudulent or invalid. If a commission was already paid to you for such a sale, we may deduct the corresponding commission from your next payout(s) and/or invoice you for the negative balance.
7.2 Fraudulent or Abusive Activity
We may withhold or reverse commissions and/or suspend or terminate your participation if we reasonably believe that referrals are generated through fraud, misleading practices, or any prohibited methods, or if orders are not genuine or are artificially created.
8. Promotion Rules & Prohibited Conduct
8.1 No Spam
You must not use unsolicited bulk emails (“spam”), unsolicited messages via messaging apps or social networks, or any other form of unsolicited communication that would violate anti-spam laws. You must have valid consent and provide clear opt-out mechanisms where required.
8.2 No Brand-Bidding or Domain Squatting
You may not bid on our brand names, trademarks or misspellings (e.g. “ClickMimic”, “Click Mimic”) in paid search ads without our explicit written permission; use domain names, subdomains or social media usernames that are confusingly similar to our brand; or present yourself as being us, an official ClickMimic department, or as having authority to speak on our behalf.
8.3 No Misleading or False Claims
You must not make unrealistic earnings claims or guarantee trading results; present ClickMimic as a broker, a prop firm, a financial advisor or an investment guarantee; claim that ClickMimic is officially endorsed or approved by any broker, prop firm, or financial institution; or claim that ClickMimic can be used to “hide” or circumvent restrictions on automated trading or the use of Expert Advisors where doing so would violate broker or prop firm rules, unless we have given you explicit written permission to make a specific, verifiable statement.
8.4 No Fake Reviews or Social Proof
You must not publish reviews or testimonials that you know are fake, purchased, or manipulated; falsely claim that you are a paying Customer or user if you are not; or use bots, fake accounts or click farms to artificially inflate traffic, clicks or social engagement.
8.5 Prohibited Content
You may not promote ClickMimic on websites, channels or content that includes hate speech, harassment, or discrimination; promotes illegal activities; contains adult or sexually explicit material; or violates any third-party intellectual property rights.
8.6 Compliance with Laws & Industry Rules
You are responsible for complying with all applicable laws and regulations, including advertising standards, consumer protection and disclosure requirements, and any applicable financial promotion rules in your jurisdiction. You are also responsible for ensuring that your use of ClickMimic and your promotions do not breach the terms, rules or policies of any broker, exchange or prop firm you mention or work with. We do not guarantee that any broker or prop firm will permit the use of ClickMimic in their environment.
9. Disclosure of Affiliate Relationship
Where required by law or platform policy (e.g. FTC guidelines, ASA rules, platform rules for sponsored content), you must clearly disclose that you may receive commissions for purchases made through your links or coupons. Disclosures must be clear, conspicuous, and close to the affiliate link or recommendation (for example, “This post contains affiliate links” or “I may earn a commission if you buy through my link”).
10. Use of Our Brand & Intellectual Property
10.1 Limited License
We grant you a limited, revocable, non-exclusive, non-transferable license to use our name “ClickMimic” and approved logos, banners, screenshots, media kit assets, or other creatives we make available to you (for example via ClickMimic Hub), solely for the purpose of promoting ClickMimic under these Terms.
10.2 Restrictions
You must not alter our logo or branding in a way that makes it misleading or inconsistent with our brand guidelines; register trademarks, domain names, or social accounts that are confusingly similar to our brand; or use our brand in a way that implies a joint venture, employment, or partnership beyond the affiliate relationship. You may not redistribute the raw media kit files as a standalone download, resell them, or provide unrestricted access to the original packages outside your team.
10.3 Ownership
All intellectual property rights in and to ClickMimic, our software, marketing materials, and website remain exclusively with us. No rights are granted to you except as expressly set out in these Terms.
10.4 Media Kit in ClickMimic Hub
After your application is approved and your affiliate account is active, we may provide you with access to a downloadable media kit (for example: logos, product images, screenshots, and ready-made creative templates) inside ClickMimic Hub. This media kit is only available to active Affiliates and may be updated, replaced, or removed at any time. If your participation in the Program ends, you must stop using media kit assets in new or future content; previously published content does not need to be retroactively removed, provided it remains compliant with these Terms and applicable laws.
11. Relationship of the Parties
Your relationship with us is that of an independent contractor. Nothing in these Terms creates an employment relationship, a partnership, a joint venture, or an agency relationship. You have no authority to bind us to any agreement, obligation, or representation.
12. Confidentiality
You may have access to non-public information regarding our business, pricing, conversions, or other internal metrics. You agree to keep such information confidential, not disclose it to third parties except as required by law, and not use it for any purpose other than participating in the Program.
13. Term and Termination
13.1 Term
These Terms take effect when we approve your application and continue until terminated by you or us.
13.2 Termination by Either Party
Either party may terminate your participation in the Program at any time, with or without cause, by providing written notice (including email) to the other party.
13.3 Effect of Termination
Upon termination, you must immediately stop using our affiliate links, coupons, logos, and any other Program materials, and remove all references to ClickMimic from your websites and channels where they imply an ongoing affiliate relationship.
13.4 Final Payout
After termination, we will calculate any outstanding valid commissions that are still within the payout schedule once the applicable refund/chargeback windows close, and pay them to you in the next regular payout cycle, subject to the minimum payout threshold, unless we agree otherwise in writing. Any commissions earned in violation of these Terms, or associated with fraudulent or invalid transactions, will not be paid.
14. Modifications to the Program or Terms
We may modify the Program, these Terms, commission structures, or any technical or operational aspects of the Program at any time. We will make reasonable efforts to notify you of material changes (for example, by email or via the Affiliate Dashboard). Your continued participation after the effective date of the changes constitutes your acceptance of the updated Terms.
15. Disclaimers and Limitation of Liability
15.1 No Warranty
The Program and our tracking systems are provided “as is” and “as available”. We make no warranties or guarantees, express or implied, regarding uninterrupted or error-free operation, exact tracking or attribution, or any specific level of income or performance.
15.2 Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability to you arising out of or relating to the Program or these Terms (whether in contract, tort, or otherwise) will not exceed the total commissions paid to you by us in the 12 months preceding the event giving rise to the claim.
15.3 Exclusion of Certain Damages
We will not be liable for any indirect, incidental, consequential, special, or punitive damages (including lost profits, lost business, or lost data), even if we have been advised of the possibility of such damages.
16. Indemnification
You agree to indemnify, defend, and hold harmless ClickMimic and its owners, officers, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your violation of any law or third-party rights, or your promotions, content, or communications related to ClickMimic.
17. Governing Law and Dispute Resolution
These Terms, and any dispute arising out of or relating to them or the Program, will be governed by and construed in accordance with the laws of Poland, without regard to its conflict-of-law rules. Any disputes will be subject to the exclusive jurisdiction of the competent courts in Świebodzin, Poland, unless mandatory law requires otherwise (for example, for consumers in the EEA who may have the right to bring claims in their country of residence).
18. Miscellaneous
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations without restriction.
